The Service and its original content, features, and functionality are and will remain the exclusive property of Pactly and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

Contracts you generate using the Service are your property. You retain full ownership of any documents created using our templates. We claim no intellectual property rights over the content of documents you generate.

6. Payment & Billing

Paid plans are billed in advance on a monthly or annual basis. By providing payment information, you authorize us to charge your payment method for the applicable fees.

• Subscriptions automatically renew unless cancelled before the renewal date
• We offer a 30-day money-back guarantee on all paid plans
• Refunds are processed within 5–10 business days
• Annual plans are non-refundable after the first 30 days

7. Privacy & Data

Your privacy is important to us. On the free tier, all contract generation happens locally in your browser — we do not store your contract data on our servers. For paid accounts, contract data is encrypted and stored securely.

8. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. Pactly does not warrant that:

• The Service will be uninterrupted or error-free
• Generated contracts will be legally enforceable in your jurisdiction
• The templates will meet your specific legal requirements
• Any errors or defects will be corrected immediately

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Pactly SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid to Pactly in the twelve (12) months preceding the claim.

10. Termination

You may terminate your account at any time from your account settings. We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Pactly operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration.
